With over 17 years of business experience including time as CFO for public and private corporations, attorney Thomas A. Martin and his firm can offer outstanding representation in the following areas:

BUSINESS ORGANIZATIONS - The form of organization chosen for a business entity potentially affects every aspect of its operations. Our firm assists our clients' business planning decisions. We also advise our clients about directors' and officers' liability, dissolution, franchising, reorganization, trade association membership and activity, joint ventures, mergers, acquisitions, divestitures, business successions, and shareholders' rights.

BUSINESS AND COMMERCIAL LAW - We provide a wide variety of litigation and dispute resolution services to our business clients, including work on interorganizational disputes, collections actions, commercial real estate issues, and other business and commercial matters.

BUSINESS ADVISING - We advise clients about directors' and officers' liability, dissolution, franchising, reorganization, trade association membership and activity, joint ventures, mergers, acquisitions, divestitures, business successions, and shareholders' rights. We also assist human resource professionals in preparing employment-related documents such as employee handbooks and policies.

BUSINESS LITIGATION - We represent and advise business clients who are or might become involved in a lawsuit as a result of a dispute, including prevention and settlement, in employment-related matters as well as in general business matters.

CONTRACTS - Whether oral or written, contracts are the basis for legally binding obligations between parties. Whether the parties to a contract are individuals, businesses, or a combination of the two, contract laws impact your legal position. Our firm can assist you in developing sound contracts prior to entering into a transaction, and can help manage any disputes that arise from a pre-existing agreement.

CONTRACT DRAFTING, REVIEW, AND NEGOTIATION - Thomas A. Martin drafts and reviews a variety of contracts for its business clients, including leases, buy-sell agreements, and software license agreements. We can also assist in negotiations.

DECEPTIVE TRADE PRACTICES ACT - Services in this area are provided to Texas consumers and to defendants who are either victims or allegedly responsible to Texas consumers for four types of conduct: (1) false, misleading or deceptive acts or practices; (2) breaches of express or implied warranties; (3) unconscionable actions or courses of action; and (4) violations of the DTPA's counterpart in the Texas Insurance Code. A team of qualified persons is assigned to the task of investigating, evaluating, and preparing each case for trial. While most cases are, understandably, resolved through a mutually agreeable settlement prior to trial, each case is prepared on the basis that it will be proceeding to trial.

FIDUCIARY DUTY DISPUTES - Services in this area are provided to persons who believe that they have been wronged by another person or organization's breach of a legal duty owed to them as part of a working relationship or legal entity structure. Additionally, defense services are also provided to those persons and/or organizations that have been, or are likely to be, sued on the basis of an alleged breach of such a duty to another person or organization.

LITIGATION AND APPEALS - contract disputes, business and commercial matters

TORTS - business torts, premises liability, and product liability

The Law Offices of Thomas A. Martin represents individuals facing serious felony charges in both state and federal trial and appellate courts. We represent people facing felony charges from drugs to murder, and have developed an emphasis on sex crimes (both adult and child offenses).

In our commercial litigation practice, we represent small business owners facing "bet the business" litigation prospects if the opposing side wins.

With our family law practice, we cherish the opportunity to represent parents, especially fathers, who need a divorce and want to keep or get custody of their kids.
